These Terms of Service ("Terms") govern your access to and use of the FF Founder Hub platform (the "Service") provided by FF Management Limited (trading as "Founders Factory"), company number 13243738 ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the FF Founder Hub, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

2. Eligibility

The Service is available only to:

• Current participants in Founders Factory programmes
• Founders Factory team members and authorized personnel
• Individuals who are at least 18 years old
• Authorized representatives of companies participating in our programmes

3. Account Registration and Authentication

3.1 Google OAuth Authentication

You must authenticate using Google OAuth with an authorized email address. By using Google OAuth, you authorize us to access and use certain information from your Google account as permitted by Google and our Privacy Policy.

3.2 Account Security

You are responsible for:

• Maintaining the security of your Google account
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Acceptable Use

4.1 Permitted Use

You may use the Service to:

• Access programme content and resources
• Connect with other founders and team members
• Manage your programme participation
• Book meetings and register for events
• Access perks and partner offers
• View financial information related to your programme

4.2 Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Share your account credentials with others
• Attempt to gain unauthorized access to the Service or other accounts
• Transmit malware, viruses, or harmful code
• Scrape, harvest, or collect data from the Service without permission
• Use the Service for any commercial purpose unrelated to your programme
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Interfere with or disrupt the Service

5. User Content

5.1 Your Content

You retain ownership of any content you submit to the Service ("User Content"), including profile information, company details, feedback, and communications. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your User Content as necessary to provide the Service.

5.2 Content Standards

You represent that your User Content:

• Is accurate and not misleading
• Does not violate any third-party rights
• Does not contain confidential information of others without permission
• Complies with applicable laws

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, software, and content (excluding User Content), is owned by Founders Factory and protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. This license does not include any right to resell or commercial use of the Service.

7. Third-Party Services

The Service integrates with third-party services, including:

• Google OAuth for authentication
• Google Calendar for meeting scheduling
• Supabase for data storage
• Airtable for data management
• Other service providers as needed

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

8. Programme Participation

Access to the FF Founder Hub is typically provided as part of your participation in a Founders Factory programme. Your programme participation is governed by separate agreements. Termination of your programme may result in termination of your access to the Service.

9. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers and Limitation of Liability

10.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2 Limitation of Liability

To the maximum extent permitted by law, Founders Factory shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of your data
• Any interruption or cessation of the Service
• Any bugs, viruses, or harmful code
• Any content or conduct of third parties

11. Indemnification

You agree to indemnify and hold harmless Founders Factory, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

12. Term and Termination

12.1 Term

These Terms remain in effect while you use the Service.

12.2 Termination by You

You may stop using the Service at any time.

12.3 Termination by Us

We may suspend or terminate your access to the Service at any time for:

• Violation of these Terms
• Completion or termination of your programme participation
• Any conduct that we believe may harm us or other users
• Any reason at our discretion

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

14. Changes to the Service

We may modify, suspend, or discontinue any aspect of the Service at any time without notice or liability.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Founders Factory regarding the Service and supersede all prior agreements.
